NGF132 Influencer Marketing Agreement

This Influencer Marketing Agreement (“Agreement”) is entered into between NGF132 Pvt. Ltd. (“Company”) and the participating content creator (“Influencer”). By participating in NGF132’s Influencer Marketing Program and accepting payment, the Influencer agrees to the following terms:

1. Scope of Services

The Influencer agrees to conceptualize, create, and publish original promotional content (“Content”) featuring NGF132 products/services in accordance with the guidelines, timelines, and quality standards communicated by the Company.

2. Compensation

• The Influencer shall receive a mutually agreed fee upon satisfactory completion, submission, and approval of the Content.

• Payment Cap: Compensation under this program shall not exceed INR 5,000 (Rupees Five Thousand only) per unique video, unless otherwise agreed in writing by NGF132.- for the program mentioned here https://app.ngf132.com/influencer

3. Ownership & Intellectual Property Rights

• Upon full payment, the Influencer irrevocably assigns to NGF132 all worldwide rights, title, and interest in the Content, including intellectual property rights.

• NGF132 shall have perpetual, royalty-free rights to:

  • Use, reproduce, edit, adapt, publish, translate, distribute, and display the Content.

  • Utilize the Content across digital and offline media including advertisements, paid campaigns, social media, websites, and promotional materials.

  • Run performance marketing advertisements using the Influencer’s Content without any additional compensation.

The Influencer waives any claim to royalties, residuals, or future payments related to such usage.

4. Mandatory Tagging & Platform Requirements

• Tagging @ngf132 in posts is mandatory from the date of publishing.

• The Influencer must ensure that no platform settings, restrictions, or practices intentionally limit the discoverability, reach, or promotional value of the Content.

• Content must remain publicly accessible for a minimum period of 12 months, unless otherwise approved by NGF132.

5. Content Standards

The Influencer warrants that the Content:

• Is original and created solely by the Influencer.

• Does not infringe upon any third-party intellectual property, publicity, or privacy rights.

• Aligns with NGF132’s brand image and quality expectations.

• Is not misleading, defamatory, unlawful, or offensive.

6. Legal & Advertising Compliance

The Influencer agrees to comply with all applicable laws and advertising regulations, including mandatory sponsorship disclosures such as #Ad, #Sponsored, or platform-specific requirements.

7. Confidentiality

Any non-public information shared by NGF132, including marketing strategies, product details, pricing, or internal processes, shall be treated as confidential and must not be disclosed without prior written consent.

8. Representations & Warranties

The Influencer represents and warrants that:

• They possess full authority to enter into this Agreement.

• No existing obligations conflict with these terms.

• The Content will not violate any applicable law or third-party rights.

9. Indemnification

The Influencer agrees to indemnify, defend, and hold harmless NGF132, its directors, employees, and affiliates from any claims, damages, liabilities, costs, or expenses arising from:

• Breach of this Agreement

• Violation of laws

• Intellectual property infringement

• Misrepresentation

10. Term & Termination

This Agreement shall remain effective from the date of acceptance until completion of the Services unless terminated earlier.

NGF132 reserves the right to terminate the Agreement immediately if:

• Content harms the brand reputation

• Terms are breached

• Fraudulent metrics or engagement are detected

Upon termination, the Influencer must cease use of NGF132 trademarks and return confidential materials.

11. Governing Law

This Agreement shall be governed and interpreted in accordance with the laws of India, and courts located in Noida, Uttar Pradesh shall have exclusive jurisdiction.

12. Entire Agreement

This document constitutes the entire understanding between the parties and supersedes all prior communications.

13. Amendments

Any modifications must be made in writing and signed (including electronic acceptance) by both parties.

By accepting payment or participating in the NGF132 Influencer Marketing Program, the Influencer acknowledges that they have read, understood, and agreed to this Agreement.
